These Terms & Conditions govern your access to and use of the Properly platform. Please read them carefully before creating an account or using the Service. By registering for an account or using the platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

1. Introduction and Who We Are

Properly is an online property rental platform that connects tenants seeking rental accommodation with landlords and letting agencies offering properties for rent in Ireland. The platform also facilitates document verification, tenancy applications, in-platform messaging, roommate matching, and related services (together, the "Service" or "Platform").

The Service is operated by Properly ("we", "us", or "our"), with registered address at The Gate Lodge, Sandyford Road, Dundrum, Dublin 16, Ireland.

Properly is an intermediary platform and is not a letting agent, estate agent, or party to any tenancy agreement. Any tenancy agreement is a matter solely between the tenant and the landlord or letting agency. We do not hold deposits, collect rent, or manage properties.

2. Definitions

In these Terms, the following words have the meanings set out below:

  • Tenant — an individual who accesses the Service to search for rental accommodation and/or has a Tenant account.
  • Landlord — an individual homeowner, company, or organisation that is legally authorised to offer a property for rent and has a Landlord account on the Platform.
  • Agency or Agent — a letting agency or individual agent appointed on behalf of a Landlord to find tenants and manage property listings, with an Agency account on the Platform.
  • Agency Employee — an individual employed by or working within an Agency who has been invited to access the Platform under the Agency's account.
  • Reference Provider — a person, company, or organisation providing a reference in support of a Tenant's application (for example, an employer or previous landlord).
  • User — any individual or entity accessing or using the Service in any capacity, including Tenants, Landlords, Agencies, Agency Employees, and Reference Providers.
  • Listing — a property advertisement published on the Platform by a Landlord or Agent.
  • Application — a Tenant's expression of interest in renting a property listed on the Platform.
  • Content — any information, text, images, documents, messages, or other material submitted to or published on the Platform by a User.
  • Our Content — all intellectual property in the Platform itself, including its design, code, graphics, trademarks, and material created by us.
  • Terms — these Terms & Conditions, together with our Privacy Policy and Cookie Policy, which are incorporated by reference.

3. Applicable Policies

These Terms are to be read alongside the following, which are incorporated by reference:

In the event of any inconsistency between these Terms and any Policy, these Terms shall take precedence.

4. Accepting These Terms

By creating an account or using any part of the Service, you confirm that you:

  • have read and understood these Terms;
  • are at least 18 years of age;
  • have the legal capacity to enter into a binding contract; and
  • agree to comply with these Terms in full.

If you are using the Service on behalf of a company or organisation, you represent and warrant that you have authority to bind that entity to these Terms.

We recommend that you save or print a copy of these Terms for future reference.

5. Eligibility

You must be at least 18 years old to create an account or use the Service. By registering, you confirm that you meet this requirement. We may ask you to verify your age and identity at any point.

The Service is available only to users in Ireland. Access from other jurisdictions is at the user's own risk and subject to local laws. You must not access the Service from countries where its use is unlawful.

6. Account Registration and Security

To access the core features of the Service, you must register for an account using a valid email address and password. When registering, you agree that:

  • all information you provide is accurate, current, and complete, and you will keep it up to date;
  • your account is personal to you and is non-transferable;
  • you will keep your password confidential and not share it with any third party;
  • you are solely responsible for all activity carried out under your account, whether by you or not;
  • you will notify us immediately at support@properly.ie if you suspect any unauthorised use of your account or any security breach.

We will not be liable for any loss or damage arising from your failure to keep your credentials secure. You may be held liable for losses incurred by us or any other party as a result of another person using your account where you have not taken reasonable steps to keep your credentials secure.

We reserve the right to deactivate accounts that are inactive for an extended period, contain false information, or are otherwise in breach of these Terms.

7. The Services

Depending on your account type, the Service allows you to:

All users:

  • Create and manage a profile on the Platform
  • Send and receive messages with other users via in-platform chat
  • Save searches, properties, or profiles
  • Receive notifications relating to platform activity
  • Upload a profile picture and personal description

Tenants:

  • Search for rental properties by location, price, and other filters
  • Submit tenancy applications to Landlords and Agencies
  • Upload identity documents, payslips, work references, and landlord references to support applications
  • Use automated document verification to generate a credibility score
  • Opt in to the Find Roommates feature to connect with other Tenants
  • Use the Auto-Apply feature to automatically apply to matching properties
  • Sign and store lease agreements on the Platform
  • Book and manage property viewings

Landlords and Agencies:

  • Create, publish, and manage property listings
  • Review tenant applications and uploaded documents
  • Request specific documents from applicants
  • View automated verification scores and flags associated with applicant documents
  • Use AI-assisted tools to review applications and listings
  • Invite tenants to viewings and issue lease agreements through the Platform
  • Manage agency employee accounts and permissions (Agencies)

8. Tenant Obligations

As a Tenant, you agree that:

  • all information you provide in your profile and applications is truthful, accurate, and up to date;
  • documents you upload are genuine, belong to you, and you have lawful authority to share them;
  • you will not upload or submit fraudulent, altered, or forged documents. Doing so may constitute a criminal offence and will result in immediate account termination and, where appropriate, referral to law enforcement;
  • you will use the Platform's messaging and communication features only for legitimate home-searching activities;
  • you will comply with the Equal Status Acts 2000–2020 in all interactions on the Platform;
  • you are responsible for all decisions you make in the course of finding and securing rental accommodation. We do not act as your agent and do not guarantee that you will secure a tenancy.

9. Landlord and Agency Obligations

As a Landlord or Agent, you agree that:

  • you have the legal right and authority to offer the advertised property for rent;
  • all information in your listings is accurate, current, complete, and not misleading;
  • properties you list meet the minimum standards set out in the Housing (Standards for Rented Houses) Regulations 2019;
  • your listing complies with all applicable Irish and EU law, including the Residential Tenancies Act 2004 (as amended), the Equal Status Acts 2000–2020, and any rent pressure zone or rent increase notification requirements;
  • where a Building Energy Rating (BER) is required by law to be included in a property advertisement, you will include it;
  • you will not discriminate against any Tenant applicant on grounds prohibited by the Equal Status Acts, including on the basis of being in receipt of housing assistance (HAP), rent supplement, or any other social welfare payment. Property descriptions must not contain exclusionary language such as "rent supplement not accepted" or "professionals only";
  • if you are a Letting Agent, you are registered with the Property Services Regulatory Authority (PSRA) and hold a valid licence as required by the Property Services (Regulation) Act 2011;
  • if you are a Landlord of a private residential tenancy, you are registered with the Residential Tenancies Board (RTB) as required by law;
  • each property may only be listed once on the Platform at any one time. Duplicate listings will be removed without notice and without refund;
  • you will not use contact details, documents, or personal data obtained through the Platform for any purpose other than assessing applications for the specific property to which a Tenant has applied, and you will handle any such data in compliance with applicable data protection law;
  • you accept sole responsibility for all decisions made in connection with the selection of Tenants and the terms of any tenancy agreement.

10. Agency Accounts and Employee Access

Agencies may create employee sub-accounts and invite employees to access the Platform. The Agency account holder (Agency Admin) is responsible for:

  • all activity carried out by Agency Employees under the Agency account;
  • ensuring that Agency Employees comply with these Terms;
  • managing employee access permissions and promptly revoking access when an employee no longer works for the Agency;
  • ensuring that company registration, VAT, and address details on the Agency profile are accurate and up to date.

11. Document Uploads and Verification

Tenants may upload supporting documents (including identity documents, payslips, and references) to support their applications. By uploading documents, you:

  • confirm that you have given your explicit consent to the upload and processing of those documents;
  • confirm that the documents are genuine, accurate, and belong to you;
  • authorise us to process those documents through our automated verification system (operated via Stripe Identity and AWS Lambda) in order to generate verification scores, extract data (such as your name, income, and document expiry date), and produce fraud indicator flags;
  • acknowledge that verification scores and extracted data will be made available to Landlords and Agents of properties to which you have applied, and may influence their decision;
  • acknowledge that our verification system generates automated scores but does not constitute a definitive verification of identity or financial standing, and that Landlords and Agents remain responsible for their own due diligence;
  • acknowledge that documents are stored securely in encrypted cloud storage (AWS S3) and handled in accordance with our Privacy Policy.

Uploading fraudulent, forged, or altered documents is a serious breach of these Terms and may constitute a criminal offence under Irish law, including under the Criminal Justice (Theft and Fraud Offences) Act 2001. We reserve the right to report suspected document fraud to An Garda Síochána.

12. Automated Decision-Making and AI-Assisted Features

The Platform uses automated tools that may materially affect you:

  • Document credibility scoring: uploaded documents are automatically analysed to produce a credibility score (0–100), fraud indicator flags, and extracted data. These outputs are shared with the Landlord or Agent who requested them and may influence application decisions.
  • AI-assisted application analysis: we use AI tools to help Landlords and Agents review applications and listings. These tools provide assistance but do not make final decisions on your behalf.
  • Auto-Apply: if you enable the Auto-Apply feature, the Platform will automatically submit applications on your behalf to properties that match your saved criteria. You remain responsible for all auto-submitted applications. You may disable Auto-Apply at any time in your account settings.

Where automated processing produces a decision that significantly affects you, you have the right to request human review. Please see our Privacy Policy (Section 7) and contact support@properly.ie.

13. Messaging and Communications

The Platform provides in-app messaging between Tenants, Landlords, and Agents. When using messaging, you agree that:

  • messages must be used only for legitimate property-related communications;
  • messages must not be abusive, harassing, threatening, discriminatory, fraudulent, or unlawful;
  • you must not use messaging to solicit personal information beyond what is necessary for the rental process;
  • we may monitor, review, or retain message content to enforce these Terms, respond to complaints, or comply with our legal obligations;
  • message content is stored by us for up to 24 months and may be used in the event of a dispute.

14. Find Roommates Feature

The Find Roommates feature allows Tenants to connect with other Tenants seeking shared accommodation. This feature is opt-in only. By enabling it, you acknowledge that:

  • your name, profile picture, description, lifestyle tags, preferred areas, and budget will be visible to other opted-in Tenants;
  • you can opt out at any time in your account settings, after which your profile will no longer appear in roommate search results;
  • matching, liking, passing, or connecting with other Tenants through this feature does not create any legal relationship or obligation;
  • Properly is not responsible for any interactions, agreements, or disputes between Tenants who connect through the roommate feature;
  • you must treat other Tenants with respect and must not use the feature to harass, discriminate against, or mislead other users.

15. Content Standards and Your Content

You are solely responsible for all Content you submit, post, or display on the Platform. You agree that your Content must not:

  • be false, misleading, inaccurate, or fraudulent;
  • contain discriminatory, offensive, defamatory, threatening, or harassing language;
  • promote or enable illegal activity;
  • infringe the intellectual property, privacy, or other rights of any third party;
  • contain spam, unsolicited advertising, chain letters, or pyramid schemes;
  • contain viruses, malicious code, or any content designed to disrupt or damage systems;
  • impersonate any person, entity, or business;
  • duplicate listings or content already published on the Platform;
  • breach the ASAI Code of Standards for Advertising and Marketing Communications in Ireland.

By submitting Content to the Platform, you grant us a non-exclusive, royalty-free, worldwide licence to use, store, display, and reproduce that Content solely to the extent necessary to provide and operate the Service. We do not claim ownership of your Content. This licence ends when you delete your Content or your account, except where retention is required by law or to resolve a dispute.

We do not actively monitor all Content but reserve the right to remove or restrict any Content that we reasonably believe breaches these Terms, applicable law, or the rights of third parties. We will not be liable for any failure to remove such Content.

16. Acceptable Use

You must not use the Platform to:

  • violate any applicable Irish or EU law or regulation;
  • engage in fraud, deception, or any unlawful activity;
  • collect or harvest other users' personal data without authorisation;
  • send spam, unsolicited messages, or promotional material to other users;
  • use automated bots, scrapers, or scripts to access or extract data from the Platform without our prior written consent;
  • attempt to gain unauthorised access to the Platform, any user account, or our systems;
  • interfere with or disrupt the operation of the Platform or its infrastructure;
  • circumvent any security or access controls;
  • upload or transmit malware, viruses, or other harmful code;
  • reproduce, duplicate, copy, sell, or exploit any part of the Service without our express written permission;
  • engage in any activity that imposes an unreasonable or disproportionately large load on our infrastructure.

17. Intellectual Property

We are the owner or licensee of all intellectual property rights in the Platform and Our Content, including text, graphics, user interfaces, photographs, trademarks, logos, and software code. All such rights are reserved.

You must not:

  • copy, reproduce, republish, distribute, or commercially exploit Our Content without our prior written consent;
  • scrape, frame, or deep-link Our Content on any other service, website, or application;
  • remove or alter any copyright, trademark, or proprietary rights notices on the Platform;
  • use our trademarks, logos, or brand names without our express written permission.

You may print or download individual pages for your own personal, non-commercial reference only. No licence is granted to you to use Our Content for any other purpose.

18. Third-Party Services and Links

The Platform integrates with third-party services to provide certain features, including Stripe (payment processing and identity verification), Google Maps (location services), and AWS (document storage and processing). Your use of those services is subject to their own terms and privacy policies.

The Platform may contain links to third-party websites. We are not responsible for the content, accuracy, or practices of any third-party website and provide links for convenience only. Accessing linked sites is at your own risk.

You may link to the Platform provided you do so in a fair and lawful manner that does not damage our reputation. You must not link in a way that implies endorsement, partnership, or affiliation without our prior written consent. We may withdraw linking permission at any time.

19. Pricing and Fees

Some features of Properly are currently provided free of charge. We reserve the right to introduce fees for certain features, account types, or usage levels at any time. Where we do so:

  • we will provide reasonable advance notice of any new fees through the Platform or by email;
  • pricing will be displayed clearly before any purchase is completed;
  • all prices are stated in euro and are inclusive of VAT where applicable;
  • payments are processed by Stripe. By making a payment, you agree to Stripe's terms of service.

We do not store your payment card details. All payment card data is processed and held by Stripe in accordance with PCI DSS requirements.

20. Platform Availability

We aim to keep the Platform available and functioning but do not guarantee uninterrupted, error-free access. We may suspend, restrict, or discontinue all or part of the Service:

  • for maintenance, upgrades, or technical issues;
  • to address security concerns or vulnerabilities;
  • where required by applicable law or regulatory obligation;
  • for any other legitimate business reason.

We will endeavour to give reasonable notice of any planned downtime. We are not liable for any loss or inconvenience arising from unavailability of the Service.

21. Suspension, Restriction, and Termination

We may restrict, suspend, or terminate your access to the Platform at any time if we reasonably believe you have:

  • breached these Terms;
  • provided false, misleading, or fraudulent information or documents;
  • engaged in discriminatory, abusive, or unlawful conduct;
  • used the Platform in a way that poses a security or legal risk to us or other users;
  • repeatedly violated our content standards or acceptable use policy.

Where we restrict, suspend, or terminate your account, we will:

  • give you a clear explanation of the reasons, unless we are legally prevented from doing so;
  • for non-urgent cases, endeavour to provide at least 15 days' notice before the action takes effect;
  • give you the opportunity to clarify the relevant facts and circumstances through our complaints process (see Section 25);
  • for Business Users (landlords and agencies acting commercially), provide at least 30 days' notice before termination, except where an immediate legal or regulatory obligation requires otherwise or where there has been repeated breach of these Terms.

Content found to be in serious breach of these Terms (including fraudulent documents or discriminatory listings) may be removed immediately without prior notice.

You may terminate your account at any time by contacting us at support@properly.ie or through your account settings.

22. Our Liability and Disclaimers

Please read this section carefully. It limits our legal liability to the fullest extent permitted by law.

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we exclude all warranties, representations, and conditions of any kind, whether express, implied, or statutory, including as to merchantability, fitness for a particular purpose, accuracy, or non-infringement.

In particular:

  • We do not guarantee that a Tenant will secure a tenancy or that a Landlord will find a suitable Tenant through the Platform.
  • We are not responsible for the accuracy, completeness, or lawfulness of Listings, Applications, or any other Content submitted by Users.
  • We do not conduct full background checks, financial assessments, or legal due diligence on any User. Automated verification scores are not a guarantee of a User's identity, financial standing, or suitability.
  • We are not responsible for any tenancy agreement entered into between a Tenant and a Landlord or Agency, nor for any dispute, loss, or damage arising from such an agreement.
  • We are not responsible for how Landlords or Agents use documents or information shared by Tenants through the Platform, once that information has been shared.
  • We are not liable for any loss or damage arising from your interactions with other Users on or off the Platform.
  • We are not liable for any failure of internet connectivity, device issues, or third-party service outages beyond our reasonable control.

To the fullest extent permitted by applicable law, we and our affiliates, officers, employees, agents, and service providers are not liable for any direct, indirect, incidental, consequential, or special loss or damage arising from or in connection with your use of or inability to use the Service, including loss of revenue, profits, goodwill, data, contracts, business opportunity, or anticipated savings.

Subject to the above, our maximum aggregate liability to you for all claims arising under or in connection with these Terms or the Service shall not exceed €100 (one hundred euros).

Nothing in these Terms excludes or limits our liability for:

  • death or personal injury caused by our negligence;
  • fraud or fraudulent misrepresentation; or
  • any other liability that cannot be excluded or limited under applicable Irish law.

23. Indemnity

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Properly and its officers, employees, agents, and service providers from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • your breach of these Terms;
  • your use of the Service in violation of any applicable law;
  • any Content you submit that infringes the rights (including intellectual property or privacy rights) of any third party;
  • any fine, penalty, or regulatory sanction imposed as a result of your conduct on the Platform;
  • any tenancy dispute or legal claim arising from a tenancy arranged through the Platform.

24. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection law, including the GDPR and the Data Protection Acts 1988–2018.

If you receive personal data about another User through the Platform (for example, a Landlord accessing a Tenant's documents), you do so as an independent data controller and are solely responsible for ensuring your use of that data complies with applicable data protection law. You must not use personal data obtained through the Platform for any purpose other than assessing the relevant rental application, and you must not retain such data longer than necessary.

25. Complaints and Dispute Resolution

If you have a complaint about the Service, another User, or a decision we have made regarding your account, please contact us at support@properly.ie with full details of your complaint.

Our complaint-handling process:

  • We will acknowledge your complaint promptly.
  • A case officer will be assigned and will contact you to assess the facts.
  • We will endeavour to provide a substantive response within 15 business days of receiving all relevant information.
  • Where a complaint relates to a suspension or restriction of your account, you will be given the opportunity to clarify the relevant facts and circumstances.

If you are not satisfied with our resolution, you may also be able to use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

For disputes with other Users (for example, between a Tenant and a Landlord about a tenancy), Properly has no obligation to mediate or intervene, but you may contact the Residential Tenancies Board (RTB) at rtb.ie for tenancy disputes, or the Workplace Relations Commission (WRC) for equality-related complaints.

26. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, applicable law, or operational requirements. When we make changes:

  • we will update the "Last updated" date at the top of this page;
  • we will notify registered users by email at their registered address at least 15 days before changes take effect (or 30 days for material changes to Business Users);
  • we will display a prominent notice on the Platform prior to the change taking effect;
  • we will not be required to give prior notice where an immediate change is required by law, regulation, or to address fraud, security threats, or cybersecurity risks.

If you disagree with revised Terms, you may close your account before the changes take effect. Continued use of the Service after the effective date of any change constitutes acceptance of the revised Terms.

27. General Provisions

  • Entire agreement: These Terms (together with our Privacy Policy and Cookie Policy) constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings, except in the case of fraud.
  • Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, it will be deemed deleted and the remaining provisions will continue in full force and effect.
  • No waiver: A failure by us to exercise or enforce any right under these Terms does not constitute a waiver of that right. All rights are cumulative and not exclusive.
  • Assignment: You may not assign, novate, or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations to another organisation at any time and will notify you by email if we do so.
  • Force majeure: We are not liable for any failure or delay in performing our obligations caused by circumstances beyond our reasonable control, including natural disasters, pandemics, government action, industrial disputes, or infrastructure failures.
  • Interpretation: In these Terms, the singular includes the plural and vice versa. Section headings are for reference only and do not affect interpretation. References to "writing" include email.
  • Relationship: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and us.

28. Governing Law and Jurisdiction

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by and construed in accordance with the laws of Ireland.

The courts of Ireland shall have exclusive jurisdiction to hear, settle, and determine any dispute arising out of or in connection with these Terms or your use of the Service, save that we reserve the right to bring proceedings against you in the courts of your country of residence or any other competent jurisdiction.

If you are a consumer, you will benefit from any mandatory provisions of the law of the country in which you are habitually resident. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.
